These Terms & Conditions govern your use of the Deepfield website and the engagement of our AI supply chain consulting services. By accessing our website or entering into a service engagement with Deepfield, you agree to these terms. Please read them carefully. If you have questions, contact us at [email protected].

1. Definitions

In these Terms & Conditions, the following definitions apply:

  • "Company", "We", "Us", "Our" refers to Deepfield, a supply chain consulting firm registered in Malaysia.
  • "Client", "You", "Your" refers to the individual or organisation engaging Deepfield's services or accessing the website.
  • "Services" refers to the AI supply chain consulting engagements offered by Deepfield, including Demand-Driven Supply Planning, Logistics Route Optimisation, and the Supply Chain Visibility Platform.
  • "Engagement" refers to a specific, agreed-upon consulting project between Deepfield and a Client.
  • "Website" refers to the Deepfield website accessible at deepffiield.
  • "Agreement" refers to the totality of these Terms, any signed engagement letter, and any applicable project scope document.

2. Acceptance of Terms

By submitting an enquiry, signing an engagement letter, or making a payment to Deepfield, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.

These Terms apply to all visitors to the website and to all Clients who engage our services. You must be at least 18 years of age and have the legal authority to enter into agreements on behalf of your organisation, if applicable.

If you do not agree with any part of these Terms, please discontinue use of the website and refrain from engaging our services.

3. Service Description

Deepfield provides AI-driven supply chain consulting services to businesses operating in Malaysia and the broader Southeast Asian region. Services are described on our website and in individual engagement proposals.

The scope, deliverables, timeline, and pricing for each service engagement are set out in a project proposal or engagement letter provided to the Client before work commences. The specific terms in that document take precedence over general descriptions on the website.

We reserve the right to adjust or discontinue service offerings at any time, though this will not affect engagements already in progress under a signed agreement.

4. Your Responsibilities

To enable Deepfield to deliver its services effectively, Clients agree to:

  • Provide accurate, complete, and timely information as required for the engagement
  • Cooperate with Deepfield's team during scoping, data collection, and delivery phases
  • Ensure that data shared with Deepfield has been obtained lawfully and that you have the right to share it
  • Use our website and services only for lawful purposes and in compliance with applicable Malaysian laws
  • Not attempt to reverse-engineer, disassemble, or misappropriate any models, tools, or methods developed by Deepfield
  • Promptly notify Deepfield of any changes that may affect the agreed project scope

5. Intellectual Property

All content on the Deepfield website — including text, design elements, graphics, and methodology documentation — is the intellectual property of Deepfield unless otherwise stated.

Unless explicitly agreed otherwise in writing, Deepfield retains ownership of all underlying models, methodologies, frameworks, and tools developed during engagements. Clients receive a non-exclusive, non-transferable licence to use the specific deliverables produced for their engagement.

Clients may not reproduce, distribute, or commercialise Deepfield's proprietary methods or materials without prior written consent.

6. Payment Terms

Pricing for each engagement is set out in the project proposal. All fees are quoted in Malaysian Ringgit (RM) unless otherwise specified.

  • A deposit of 50% of the engagement fee is payable upon signing the engagement letter
  • The remaining balance is payable upon delivery of agreed project milestones or final deliverables
  • Invoices are payable within 14 days of the invoice date
  • Late payments may incur an interest charge of 1.5% per month on the outstanding amount

All payments are non-refundable once work has commenced on the relevant phase of the project, except where Deepfield has materially failed to deliver agreed outputs.

7. Service Delivery

Deepfield will use reasonable professional efforts to deliver services within agreed timelines. However, timelines may be adjusted in the following circumstances:

  • Delays in receiving required data or approvals from the Client
  • Changes to project scope requested by the Client
  • Circumstances beyond Deepfield's reasonable control

Any material changes to scope, deliverables, or timeline will be documented in a written change order and may affect the total project fee.

Deepfield does not warrant that AI models or platforms delivered will operate without any errors or interruptions, but we commit to addressing material defects identified within 30 days of delivery at no additional cost.

8. Confidentiality

Both parties agree to treat as confidential any business information, data, methods, or materials shared during an engagement that are designated as confidential or would reasonably be understood to be confidential in nature.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.

Confidentiality obligations survive the termination of any engagement for a period of three years.

9. Disclaimers

Deepfield's services are provided on a professional best-efforts basis. We do not make any representations or warranties as to specific operational outcomes, financial savings, or performance improvements.

AI and data-driven models involve inherent uncertainties. Results depend on the quality of input data, operational context, and implementation conditions that are partly outside Deepfield's control.

The website is provided "as is" without warranties of any kind, including fitness for a particular purpose or uninterrupted availability.

10. Limitation of Liability

To the extent permitted by Malaysian law, Deepfield's total liability in connection with any engagement shall not exceed the total fees paid by the Client for that specific engagement.

Deepfield shall not be liable for indirect, incidental, or consequential losses including loss of revenue, loss of data, or business interruption, even if advised of the possibility of such losses.

Nothing in these Terms excludes liability for fraud, personal injury caused by negligence, or any other matter that cannot be lawfully excluded under Malaysian law.

11. Indemnification

You agree to indemnify and hold harmless Deepfield, its team members, and representatives from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services or website, or your violation of any third-party rights.

12. Termination

Either party may terminate an engagement by providing written notice in the following circumstances:

  • Material breach of the Agreement not remedied within 14 days of written notice
  • Insolvency or cessation of business of the other party
  • Mutual written agreement

Upon termination, the Client shall pay for all work completed up to the date of termination. Sections relating to intellectual property, confidentiality, and liability shall survive termination.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or any engagement shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the matter to mediation through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur before pursuing litigation.

The courts of Malaysia shall have exclusive jurisdiction over any disputes that proceed beyond mediation.

14. General Provisions

  • Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties on the relevant subject matter.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign rights or obligations under these Terms without Deepfield's prior written consent.
  • Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, infrastructure failure, or government action.

15. Changes to These Terms

We may update these Terms from time to time. When changes are made, we will update the "Last Updated" date at the top of this page. Continued use of the website or engagement of our services after changes are posted constitutes acceptance of the revised Terms.

For active engagements, material changes to Terms will be communicated directly and will not take effect unless agreed in writing.
